Terms of Service

The terms that govern use of the YouFarm website and web application

Effective August 17, 2026

Note on scope. These Terms govern individual use of the YouFarm website and web application. They contain no pricing, billing, or subscription terms — those are in the Master Subscription Agreement between us and the organization that subscribes, which that organization receives directly from us. Use of the YouFarm Mobile app is governed by Apple's Standard End User Licence Agreement, presented to you at download, and — for anything it does not cover — by these Terms of Service.

These Terms of Service ("Terms") are a legal agreement between you and Grant Scientific Ltd. ("Grant Scientific", "we", "us"), an Alberta corporation with its registered office at General Delivery, 704-4th Ave S, Lethbridge, AB, T1J 3Y2, Canada.

They apply to two groups of people, and which parts apply to you depends on which you are:

  • Visitors to the YouFarm website at youfarmstudio.ca. Sections 1, 2, 4, and 8 to 15 apply to you.
  • Authorized Users of the YouFarm web application, provisioned by us at the request of a subscribing organization. All Sections apply to you.

Where these Terms refer to "the service", they mean whichever of the website and the web application you are using.

By accessing the website, or by accepting these Terms when you first sign in, you agree to them. If you do not agree, do not use the site or the application.


1. The website

The YouFarm website is provided for information. Nothing on it is an offer capable of acceptance, a warranty, a representation as to the performance of the service, or professional agronomic advice. Product descriptions, screenshots, and illustrative outputs are for general information and may not reflect the current version of the service.

We may change, suspend, or withdraw the website at any time.


2. Intellectual property

The website, the application, and everything in them — software, text, graphics, layouts, screen designs, workflows, report formats, agronomic models, coefficients, and documentation — are owned by Grant Scientific or its licensors and are protected by copyright, trade secret, and other laws. "YouFarm" and the YouFarm logo identify our service and are used by Grant Scientific Ltd. in that connection.

Nothing in these Terms transfers any ownership to you. All rights not expressly granted are reserved.

You may view the website and print or download individual pages for your own reference. You may not otherwise copy, reproduce, republish, mirror, frame, or create derivative works from any part of it. Section 8 sets out the restrictions on automated access and on using our materials to build competing products; those restrictions apply to visitors as well as to Authorized Users.


3. Your account

3.1 How accounts are created

Accounts are created by Grant Scientific at the request of the organization you work for. There is no self-service registration. Your organization's administrator requests, modifies, and closes accounts on its behalf.

3.2 Your responsibilities

Your credentials are personal to you. You will not share them, and you will keep them confidential. You are responsible for everything done through your account. Tell us immediately at support@mail.youfarmstudio.ca if you believe your credentials have been compromised.

3.3 Your organization's control

Your account exists because your organization subscribes. Your organization's administrator can see, modify, and close it, and can access records you create in the application. Records you create belong to your organization, not to you. If you leave that organization, your access ends.

3.4 Accuracy

Keep your profile information accurate and current.


4. Acceptable use

Your use of the website and the application is subject to this Section, which applies to visitors as well as to Authorized Users. It is deliberately short. If something is not listed here but is obviously abusive, assume it is prohibited.

4.1 Do not misuse other people's data

  • Do not access, or attempt to access, records belonging to an organization other than your own.
  • Do not use credentials that are not yours, share your credentials, or let anyone else use your account.
  • Do not enter another person's personal information into the service without the authority to do so.
  • Do not enter information that is not needed for the service — in particular, do not enter government identification numbers, financial account details, health information, or information about a person's protected characteristics into free-text fields.
  • Do not extract grower or farm data for a purpose the grower has not agreed to.

4.2 Do not attack, probe, or overload the service

  • Do not attempt to gain unauthorized access to the service, to another account, or to the infrastructure behind it.
  • Do not probe, scan, or test the vulnerability of any system without our prior written permission. If you want to report a vulnerability, see 4.7.
  • Do not circumvent, disable, or interfere with authentication, rate limits, access controls, or bot-detection measures.
  • Do not introduce malware, or any code intended to disrupt, damage, or gain unauthorized access.
  • Do not place an unreasonable load on the service, whether deliberately or through poorly designed automation.

4.3 Do not use automated access

Do not access the service by scripts, bots, crawlers, scrapers, headless browsers, or any interface other than the user interface and any API we have expressly made available to you. This includes AI agents and browser-automation tools acting on your behalf, whether or not a human directs each action. Section 8 below sets out further detail, including the restrictions on reverse engineering and systematic input variation.

4.4 Do not copy the service or use it to build a competitor

Do not reverse engineer the service, map its logic by systematic input variation, use its outputs to train or benchmark another model, copy its interface or workflows as a specification for another product, or use it — directly or through an AI tool — to build or specify a competing product. The full restrictions are in Section 8 below and in Section 5 of the Master Subscription Agreement.

4.5 Do not misrepresent what the service does

  • Do not present a YouFarm recommendation to a grower as a guaranteed outcome, a prediction of yield, or a substitute for professional judgment.
  • Do not represent that Grant Scientific has reviewed, approved, endorsed, or certified any recommendation, plan, or advice you give.
  • Do not use our name, logo, or marks without permission, or in a way that suggests a partnership, endorsement, or professional relationship that does not exist.

4.6 Do not break the law

Do not use the service to violate any applicable law, including privacy, environmental, nutrient-management, anti-spam, export control, or professional regulation law, or to infringe anyone's intellectual property or other rights.

4.7 Reporting

Security vulnerabilities. Report them to support@mail.youfarmstudio.ca with “security” in the subject line. Please give us a reasonable opportunity to investigate and remediate before disclosing publicly. We will not pursue legal action against anyone who reports a vulnerability in good faith, does not access or modify data belonging to others, does not degrade the service, and gives us reasonable time to respond.

Abuse or misuse. Report it to support@mail.youfarmstudio.ca.

4.8 Enforcement

We may investigate suspected breaches of this Section and may suspend or terminate access immediately, without notice and without liability, where we reasonably believe a breach has occurred or is threatened. Where the breach involves reverse engineering, competitive use, automated extraction, or circumvention of a technical protection measure, no cure period applies.

Suspension does not relieve a subscribing organization of its obligations under its agreement with us. We will notify the subscribing organization's administrator of any suspension affecting its Authorized Users, unless doing so would compromise an investigation.


5. What the service is — and is not

This Section matters more than any other in these Terms. Please read it.

YouFarm is a decision-support tool. It is not a substitute for professional judgment.

  • Every recommendation the application produces must be reviewed by a qualified agronomist before it is relied on or given to a grower.
  • Your professional judgment, not the application's output, is the controlling factor in any recommendation you make.
  • You are responsible for holding and maintaining any professional designation, licence, or registration your jurisdiction requires, and for practising within its scope.
  • Grant Scientific does not practise agrology or agronomy, does not give professional agronomic advice to growers, and has no relationship with any grower.

Outputs depend entirely on the inputs. Soil results, sampling methodology and density, field boundaries, yield goals, crop history, and management assumptions all determine what the application produces. We do not verify any of it.

Crop response depends on things the application cannot model — weather, moisture, pests, disease, within-field variability, application timing and accuracy, product quality, and equipment calibration among them. No output is a prediction or guarantee of yield, crop response, profitability, or any agronomic or environmental outcome.

You are responsible for regulatory compliance. Whether a nutrient plan complies with environmental, nutrient-management, water-protection, setback, or product-label requirements where it is applied is your determination, not ours. The application does not determine regulatory compliance.


6. Availability

We aim to keep the application available, but we do not promise uninterrupted access. We may perform maintenance, deploy changes, and modify features. Agronomic models, coefficients, and recommendation logic will change as the science, regional calibration, and regulatory guidance develop.


7. Privacy

Our handling of personal information is described in the Privacy Policy. In summary: we are responsible for your account information; the records you create in the application belong to your organization and we hold them on its behalf.


8. Restrictions on use of our materials

These restrictions apply to everyone who accesses the website or the application, whether or not you have an account.

You will not, and will not permit anyone else to:

(a) copy, reproduce, republish, frame, mirror, or create derivative works of the website, the application, or any part of them, except for records you generate through permitted use of the application;

(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive or reconstruct the source code, algorithms, models, agronomic logic, coefficients, thresholds, or calculation methodology behind the service, whether by inspecting outputs, systematically varying inputs, statistical inference, or any other means, except to the extent this restriction is prohibited by applicable law and only after giving us written notice and a reasonable opportunity to supply the information ourselves;

(c) submit inputs for the purpose of mapping, modelling, replicating, or approximating the application's logic or outputs, including synthetic, hypothetical, or systematically varied inputs not drawn from an actual field or grower engagement;

(d) use any output of the service to train, fine-tune, validate, or benchmark any machine learning model, expert system, or recommendation engine, other than to evaluate the service itself for your organization's internal purposes;

(e) access the website or the application by automated means, or circumvent any rate limit, access control, or bot-detection measure;

(f) remove, obscure, or alter any proprietary notice, watermark, branding, or attribution;

(g) use the website or the application to build, develop, design, specify, or market any product or service that provides crop nutrition, soil fertility, agronomic recommendation, or field-record management functionality substantially similar to ours, or assist anyone else in doing so;

(h) copy, imitate, or use as a specification, template, wireframe, or reference our user interface, screen layouts, information architecture, workflows, report formats, field names, or naming conventions in developing any other product or service;

(i) use, or direct any artificial intelligence, code-generation, or automated development tool to use, our materials — or any screenshot, recording, transcription, or description of them — as input, prompt material, training data, or a reference implementation for generating software; or

(j) publish any benchmark, comparison, performance test, accuracy assessment, screenshot, or recording of the application without our prior written consent.

The restrictions in (g) through (j) continue for 24 months after your last access, and not beyond. They are a condition of access to our materials and are limited to use of, and information derived from, those materials. They do not restrict you from developing or using anything created independently, without reference to or reliance on our materials — but if the question arises, the burden of showing independent development is yours.


9. Suspension and termination

We may suspend or terminate your access immediately, without notice and without liability, if we reasonably believe you have breached these Terms, or if your organization's subscription ends. Sections 2, 3.2, 5, 7, 8, 10, 11, 12, and 15 survive termination.

You may stop using the service at any time. To close your account, see Deleting your YouFarm account.


10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND THE APPLICATION ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL REPRESENTATIONS, WARRANTIES, CONDITIONS, AND GUARANTEES, EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT ANY RECOMMENDATION IS ACCURATE, COMPLETE, SUITABLE FOR ANY PARTICULAR FIELD OR OPERATION, OR CAPABLE OF PRODUCING ANY PARTICULAR YIELD, CROP RESPONSE, ECONOMIC RETURN, OR ENVIRONMENTAL OUTCOME.

Some jurisdictions do not allow certain exclusions, so parts of this Section may not apply to you. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.


11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, YIELD, CROP, PRODUCTION, BUSINESS, GOODWILL, OPPORTUNITY, OR DATA, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR APPLICATION IS LIMITED TO ONE HUNDRED CANADIAN DOLLARS (CAD $100).

This limit reflects the fact that you personally pay us nothing — your organization holds the commercial relationship, and its remedies are set out in its Master Subscription Agreement with us. Nothing in this Section limits the rights of the subscribing organization under that agreement.


12. Indemnity

You will indemnify and hold harmless Grant Scientific and its directors, officers, employees, and agents against any claim, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of your deliberate or reckless breach of Section 4 or Section 8.

This indemnity does not apply to a good-faith mistake, to anything arising from our own negligence, or to acts you carry out within the scope of your employment where your employer has a Master Subscription Agreement with us — in that case your employer's obligations apply instead of yours.


13. Confidentiality of our non-public materials

Some of what you can see through the application is not published by us for public access — in particular the agronomic logic, calculation methodology, models, thresholds, coefficients, calibration data, and regional adjustments behind the recommendations you are shown. We call these our non-public materials.

You will keep our non-public materials confidential, will not disclose them to anyone outside the organization you work for, and will not use them for any purpose other than doing your job with the application. This obligation continues after your access ends, for as long as the material remains non-public, and it applies to you personally, whether or not your employer has signed anything with us.

This Section does not restrict you from discussing a recommendation with a grower, a colleague, a professional regulator, or an insurer in the ordinary course of your work, or from exercising your own professional judgment about whether a recommendation is right. It restricts disclosure of how the model works, not disclosure of what it said.


14. Changes to these Terms

We may update these Terms. If a change is material, we will give notice — by email to account holders, by an in-application notice, or by posting a prominent notice on the website — at least 30 days before it takes effect, unless a shorter period is required by law or necessary for security. The date at the top of this page always reflects the current version. Continuing to use the service after a change takes effect means you accept it.


15. General

Governing law. These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws rules. You and we attorn to the exclusive jurisdiction of the courts of Alberta sitting in Calgary. If you are a consumer resident in a jurisdiction whose law gives you the right to bring proceedings locally or to the benefit of mandatory local protections, nothing here removes that right.

Equitable relief. A breach of Section 8 would cause us irreparable harm for which damages would be an inadequate remedy. We may seek injunctive relief without proving damages or posting security, in addition to any other remedy.

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the website and the web application. Where you are an Authorized User and your organization has a Master Subscription Agreement with us, that agreement governs as between us and your organization, and prevails over these Terms to the extent of any conflict.

Severability and waiver. If any provision is unenforceable, it will be modified to the minimum extent needed to make it enforceable, or severed, and the rest continues in effect. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them to a successor in a merger, reorganization, or sale of assets.

Language. The parties have requested that these Terms be drawn up in English. Les parties ont demandé que ces conditions soient rédigées en anglais.
